Terms and Conditions

These terms govern the access, use, contracting, and provision of services offered by StudioVainilla, including marketing, branding, web development, web services, digital systems, business intelligence, training, automation, consulting, and related solutions.

1. Acceptance of the terms

By accessing the StudioVainilla website, requesting information, submitting forms, accepting quotes, making payments, hiring services, using linked platforms, or maintaining commercial communication with StudioVainilla, the user, client, or contractor agrees to be bound by these Terms and Conditions.

These terms constitute a general agreement of use and contracting, without prejudice to the particular conditions established in commercial proposals, contracts, service orders, quotes, addendums, emails, payment platforms, or specific agreements between the parties.

In the event of a contradiction between these terms and a contract or proposal signed or expressly accepted by the client, the particular document regarding the contracted service shall prevail.

3. Services offered by Studio Vanilla

StudioVainilla may offer, but is not limited to, the following services:

  • Digital marketing, campaigns, strategy, content, graphic design, advertising, reports, and communication management.
  • Branding, visual identity, logos, brand manuals, applications, brand books, and visual resources.
  • Web development, informational websites, e-commerce, platforms, landing pages, e-learning, CRMs, integrations, and digital systems.
  • Web services, hosting, domains, corporate email, technical setup, backups, SSL, and related support.
  • Implementation of tools like Monday.com, boards, automations, workflows, and operational tracking.
  • Vchat, conversational automation, intelligent support, lead capture and interaction flows.
  • Vanilla Intelligence, business intelligence, dashboards, data analysis, copilots, Data Lake, automation, and systems with artificial intelligence.
  • Vanilla Academy, training, courses, workshops, consulting, and education in digital tools.
  • Services related to trademark registration, tracking platforms, documentary support, or solutions associated with the StudioVainilla ecosystem.

The exact scope of each service will be defined in the quote, proposal, contract, service sheet, work order, or written communication accepted by the client.

4. Hiring, proposals, and reach

The hiring of services will be considered formalized when the client accepts a proposal, makes a payment, confirms the start of the service in writing, signs a contract, or uses a hiring platform enabled by StudioVainilla.

Scope of service

Each service includes only the deliverables, activities, timelines, sessions, revisions, platforms, configurations, or resources expressly indicated in the corresponding proposal or agreement. Any activity not mentioned will be considered out of scope and may be quoted separately.

Scope changes

If during the project the client requests additional functionalities, substantial modifications, changes in creative direction, new assets, unconsidered integrations, urgencies, redesigns, or scope expansions, StudioVainilla may issue a new quote or adjust delivery times.

The client acknowledges that project timelines, costs, and outcomes also depend on the timely delivery of information, authorizations, access, payments, materials, feedback, and decisions by the client.

5. Payments, billing, and renovations

Prices, payment methods, down payments, monthly installments, terms, due dates, renewals, and economic conditions will be those established in the corresponding quote, proposal, contract, payment platform, or commercial communication.

  • Services may require advance payment, partial payment, full payment, or installments, depending on the project type.
  • The commencement of activities may be subject to the receipt of the corresponding payment.
  • Payments for recurring services must be made within the agreed-upon deadlines.
  • Failure to pay may result in the suspension of services, deliverables, access, support, hosting, domains, licenses, email, or related platforms.
  • Costs of external platforms, licenses, domains, third-party hosting, tools, advertising, or external vendors may be separate from StudioVainilla's fees.

Billing

The client must provide correct and complete tax information for the issuance of tax receipts. StudioVainilla will not be responsible for delays or errors arising from incorrect, incomplete, or late submitted tax information.

6. Deliverables, reviews, and approvals

The deliverables will be provided in accordance with the agreed-upon scope. Delivery may be made via email, digital platforms, links, shared folders, documents, websites, access credentials, dashboards, publications, reports, or any other medium defined by StudioVainilla.

Revisions

Unless otherwise stated in the proposal, revisions will be limited to reasonable adjustments to the presented concept or deliverable. Changes that involve redoing the project, modifying the objective, changing the brief, substantially altering the approved structure, or incorporating new elements not previously contemplated will not be considered ordinary revisions.

Approvals

When the client approves a design, content, strategy, publication, development, structure, configuration, or deliverable, it will be understood that they have reviewed and validated the information, spelling, data, images, prices, dates, links, conditions, functionality, and other applicable elements.

StudioVainilla may request approvals by mail, message, platform, meeting, form, or any verifiable means. The client's lack of response may halt or delay the project without liability for StudioVainilla.

7. Obligations of the customer

The client undertakes to:

  • Provide truthful, up-to-date, complete, and sufficient information for the execution of the service.
  • Deliver materials, access, images, texts, documents, authorizations, and feedback in a timely manner.
  • To have rights, licenses, or authorizations over the materials you provide to StudioVainilla.
  • Review and approve deliverables within the requested timeframes.
  • Make payments on time.
  • Do not request activities that are contrary to the law, third-party rights, copyright, trademarks, intellectual property, privacy, or good digital practices.
  • Do not use the services provided for illicit, deceptive, fraudulent, discriminatory, violent activities, or activities contrary to applicable regulations.

StudioVainilla may suspend, deny, or cancel services if the client fails to comply with these obligations, provides false information, makes illegal requests, or affects the operation, reputation, or safety of StudioVainilla.

8. Intellectual Property, Licenses, and use of materials

Unless otherwise agreed in writing, any rights to designs, developments, strategies, content, configurations, documents, structures, methodologies, code, templates, internal systems, processes, know-how, proposals, analyses, and materials created by StudioVainilla shall remain protected by copyright, intellectual property, or industrial property rights, as applicable.

Assignment or license of use

When the contracted service includes the delivery of designs, files, websites, content, or final materials, the client may use them for the project's own purposes, provided that full payment has been made and there are no specific restrictions.

Editable and source files

The delivery of editable files, source files, code, backups, templates, master credentials, internal processes, or advanced technical documentation is not presumed to be included unless expressly agreed upon in the proposal or contract.

Portfolio and success stories

StudioVainilla may mention, display, or reference projects completed as part of its portfolio, website, social media, commercial presentations, or case studies, unless there is a confidentiality agreement or express restriction previously accepted in writing.

9. Cancellations, pauses, and refunds

Cancellation, pause, early termination, or refund conditions will depend on the type of service contracted, project stage, payments made, work executed, resources assigned, licenses acquired, and agreed-upon terms.

  • Advances, down payments, setups, diagnostics, consultations, analyses, services already rendered, overdue installments, licenses, domains, hosting, tools, third-party expenses, or allocated resources may be non-refundable.
  • Customer cancellation does not eliminate the obligation to cover outstanding balances for work performed, services rendered, authorized expenses, or contracted commitments.
  • If the client pauses a project due to a lack of information, approvals, payments, or decisions, StudioVainilla will be able to reschedule delivery times according to its availability.
  • For recurring services, cancellation must be requested in writing with the advance notice indicated in the applicable proposal, contract, or policy.

StudioVainilla does not guarantee automatic refunds. Each case will be evaluated according to the service, progress, commercial agreement, and applicable obligations.

10. Limitation of Responsibility

StudioVainilla commits to providing its services with professionalism, diligence, and best practices. However, the client acknowledges that commercial, advertising, technological, operational, or financial results may depend on multiple external factors.

StudioVainilla does not guarantee, unless expressly agreed in writing:

  • Sales, revenue, conversions, rankings, leads, metrics, registrations, approvals, procedures, or specific results.
  • Absolute availability of third-party platforms, social networks, servers, payment gateways, software tools, external providers, or services unrelated to StudioVainilla.
  • Total absence of failures, attacks, errors, crashes, vulnerabilities, data loss, or external disruptions.
  • Results derived from decisions, approvals, omissions, modifications, or actions taken directly by the customer or third parties.

In no event shall StudioVainilla be liable for indirect damages, lost profits, loss of opportunities, data loss, reputational damage, business interruptions, third-party penalties, or consequences arising from incorrect information, lack of approval, customer non-compliance, or external failures.

11. Validity, modifications, and updates

These Terms and Conditions will be effective from their publication on the StudioVainilla website and may be modified, updated, or replaced at any time.

Modifications will be published on this same page or through StudioVainilla's official channels. Continued use of the site, platforms, or services after an update implies acceptance of the new terms.

12. Applicable legislation and jurisdiction

For the interpretation, compliance, and enforcement of these Terms and Conditions, the parties submit to the applicable laws of the United Mexican States.

In case of controversy, the parties shall endeavor to resolve it first through direct and good-faith communication. If this is not possible, they shall submit to the jurisdiction of the competent authorities in Chihuahua, Chihuahua, Mexico, unless otherwise provided by applicable law.

These terms shall be interpreted in conjunction with the Privacy Notice, commercial proposals, contracts, addenda, specific policies, and particular agreements entered into with the client.
